Lufthansa acuerda adquirir 40% de la aerolínea italiana
La compañía aérea alemana Lufthansa Group ha acordado hacerse con un 40% de la italiana ITA Airways, hasta ahora propiedad del Estado italiano tras la liquidación de la vieja Alitalia, según avanzan hoy los medios locales. El diario Il Corriere della Sera adelanta que el acuerdo será firmado el Jueves 25/05, aunque fuentes del Ministerio de Economía italiano, propietario de la totalidad de las acciones de la aérea, prefieren no confirmar la operación.
El acuerdo prevé que Lufthansa compre el 40% de las acciones de ITA Airways para después, en un segundo momento, aumentar su participación hasta el 90%, según explica el periódico de Italia. El periódico La Repubblica sin embargo apunta que Lufthansa se hará con la totalidad de ITA Airways en el plazo de dos años.
El grupo alemán lanzó el pasado 18 de Enero de 2023 una oferta por una participación minoritaria en la italiana ITA Airways con la opción de adquirir el resto posteriormente. El 30 de Marzo de 2023 ambas aerolíneas acordaron un plan industrial conjunto que el Ministro de Economía italiano, Giancarlo Giorgetti, definió como “un paso más hacia la colaboración industrial entre ambas compañías”. Ese mismo día se reunieron en Roma con el Consejero Delegado de Lufthansa, Carsten Spohr, y con el Presidente de ITA Airways, Antonino Turicchi, para ilustrar ese plan y sus previsiones de flota, conexiones y objetivos estratégicos y de desarrollo.
ITA Airways fue fundada en Octubre de 2021 como una aerolínea independiente de su predecesora Alitalia, que fue cerrada después de años intentando evitar su quiebra. Desde entonces, el Ministerio de Economía, único accionista de ITA Airways, le ha buscado un socio económico. El Gobierno italiano interrumpió las negociaciones en exclusiva con un consorcio formado por el fondo estadounidense Certares y las aerolíneas Delta y Air France. Posteriormente, arios colosos de la aviación y de los transportes tantearon hacerse con una parte de la aerolínea italiana, pero terminaron dando marcha atrás. Fue el caso de Air France-KLM Group, que rechazó presentar una oferta tras valorar durante meses la adquisición de la compañía. El grupo naviero ítalo-suizo MSC, también había mostrado interés por alcanzar una participación accionaria. Hacia Febrero 2023 trascendió que Lufthansa Group pretendía comprar el 40% de ITA por entre € 250 y 300 millones de Euros. La operación ha sido estudiada por la Primera Ministra italiana, Giorgia Meloni, y el Canciller alemán Olaf Scholz, en un encuentro bilateral en el reciente G7 de Hiroshima. El pasado Jueves 18/05 Giancarlo Giorgetti se declaró optimista con la operación de compra, tras más de cinco meses de negociaciones.

Lufthansa agrees to acquire 40% of the Italian airline
The German airline Lufthansa Group has agreed to get 40% of the Italian ITA Airways, until now owned by the Italian State after the liquidation of old Alitalia, as local media progress today. The newspaper Il Corriere Della will advance that the agreement will be signed on Thursday 05/25, although sources from the Italian Ministry of Economy, owner of all the actions of the air, prefer not to confirm the operation.
The agreement provides for Lufthansa to buy 40% of ITA Airways’s shares and then, in a second moment, increase their participation up to 90%, according to the Italian newspaper. The newspaper La Repubblica, however, points out that Lufthansa will be done with the entire ITA Airways within two years.
The German group launched on January 18, 2023, an offer for minority participation in Italian ITA Airways with the option of acquiring the rest later. On March 30, 2023, both airlines agreed with a joint industrial plan that Italian Minister of Economy, Giancarlo Giorgetti, defined as “one more step towards industrial collaboration between both companies”. That same day they met in Rome with the CEO of Lufthansa, Carsten Spohr, and with the president of ITA Airways, Antonino Turicchi, to illustrate that plan and its fleet forecasts, connections, and strategic and development objectives.
ITA Airways was founded in October 2021 as an independent airline of its predecessor Alitalia, which was closed after years of trying to avoid bankruptcy. Since then, the Ministry of Economy, the only shareholder of ITA Airways, has sought an economic partner. The Italian government interrupted the exclusive negotiations with a consortium formed by the American Fund Certares and the Delta and Air France airlines. Subsequently, colossal Aryes of aviation and transportation were to get a part of the Italian airline but ended up going back. It was the case of Air France-KLM Group, which refused to present an offer after assessing the acquisition of the company for months. The Ítalo-Suizo MSC shipping group had also shown interest in achieving shareholding. By February 2023 it transpired that Lufthansa Group intended to buy 40% of ITA for between € 250 and 300 million Euros. The operation has been studied by the Italian Prime Minister, Giorgia Meloni, and German Chancellor Olaf Scholz, in a bilateral encounter in the recent G7 of Hiroshima. Last Thursday 18/05 Giancarlo Giorgetti declared himself optimistic about the purchase operation, after more than five months of negotiations.
