Grupo Abra adquiere aerolínea española
Grupo Abra ha anunciado la adquisición de la aerolínea española Wamos Air. En el concurso desarrollado para la compra de la aerolínea de ocio española han participado diferentes private equity entre ellos la colombiana Avianca, como parte de los consorcios para obtener el control de la compañía aérea. En el deal, por parte de Wamos Air ha asesorado el equipo legal de Squire Patton Boggs. Por su parte, Avianca ha sido asesorada por Gómez-Acebo & Pombo.
El Grupo Abra, propietario de las aerolíneas latinoamericanas Avianca Airlines (Colombia) y GOL Linhas Aéreas, ha anunciado la adquisición de la compañía española Wamos Air, especializada en servicios de arrendamiento de aviones con tripulación, mantenimiento y seguros incluidos (wet lease).
Wamos Air, que enfrentó dificultades durante la pandemia y requirió un rescate por parte de la SEPI de España, volvió a la rentabilidad en 2023 bajo la gestión de Springwater, fondo que ha vendido la aerolínea española separándola del resto de negocios vinculados al sector de turoperador turístico. Así, la aerolínea pertenece al mismo grupo empresarial que integró Pullmantur Air y que controla también los turoperadores españoles Nautalia y el Grupo Mapa, así como las portuguesas Top Atlántico y GeoStar. Wamor Air mantendrá su equipo y seguirá operando de forma independiente bajo su modelo de negocio actual.
Las compañías no han divulgado detalles financieros sobre la transacción ni el porcentaje exacto de la compra, refiriéndose únicamente a un comunicado conjunto donde se destaca la naturaleza estratégica de esta inversión. No obstante, en el precio de compra está incluido el importe que aún queda por devolver a la SEPI.
El Grupo Abra no ha sido el único postor de una aerolínea a la que se han acercado tanto fondos de private equity como consorcios de aviación internacional. Por tanto, no se trataba de un proceso competitivo sino del interés despertado por la compañía Wamos Air dirigida por Enrique Saiz desde 2012. La operación previsiblemente se cerrará en Septiembre 2024, una vez que supere, como previsiblemente será los cumplimientos regulatorios de la Agencia Estatal de Seguridad Aérea (AESA) y de Competencia de la Unión Europea y las autoridades nacionales como la autorización del Consejo de Ministros.
La aerolínea, con dos décadas de experiencia, continuará operando de forma independiente, manteniendo su equipo directivo y su modelo de negocio actual. El acuerdo refuerza la operación de Wamos Air desde y hacia América Latina con el respaldo de un inversor experto y con visión a largo plazo.
De manera indirecta, Avianca ingresaría al mercado de aviación español. La operación, una vez que se cierre en Septiembre 2024, no se vislumbra como la última en el segmento de aviación y de los operadores turísticos una vez consolidada la recuperación del sector tras la pandemia.
La aerolínea española, que actualmente operaba vuelos para Avianca en rutas como Bogotá—Los Ángeles y El Salvador—Madrid, integra el mismo grupo que controla los turoperadores Nautalia y Grupo Mapa, así como las agencias portuguesas Top Atlántico y GeoStar. Wamos Air ha operado en más de doscientos aeropuertos en 87 países, transportando más de tres millones de pasajeros para aerolíneas de renombre global. Con esta adquisición, Grupo Abra, domiciliado en Reino Unido, que cuenta con un equipo de 28,000 profesionales y una flota de 300 aviones, busca consolidar su presencia en 15 países y 150 destinos.

The Abra Group has not been the only bidder for an airline that has been approached by both private equity funds and international aviation consortia. Therefore, it was not a competitive process but rather the interest aroused by the company Wamos Air directed by Enrique Saiz since 2012. The operation will foreseeably close in September 2024, once it exceeds, as it predictably will, the regulatory compliance of the State Agency. Aviation Safety (EASA) and Competition of the European Union and national authorities such as authorization from the Council of Ministers.
The airline, with two decades of experience, will continue to operate independently, maintaining its management team and its current business model. The agreement reinforces Wamos Air’s operation to and from Latin America with the support of an expert investor with a long-term vision.
Indirectly, Avianca would enter the Spanish aviation market. The operation, once it closes in September 2024, is not seen as the last in the aviation and tour operator segment once the recovery of the sector after the pandemic is consolidated.
