GOL Linhas Aéreas informó este Miércoles 24/03 que la Junta General extraordinaria de Smiles Fidelidade S.A. ha aprobado una reorganización divulgada el 12 de Febrero de 2021 después de su implementación, dará lugar a la migración de la base accionaria de Smiles hacia GOL Linhas Aéreas.

La Junta General Extraordinaria de la compañía de programa de viajero frecuente ha aprobado la reorganización después de que GOL Linhas Aéreas aumentara su oferta a los accionistas de Smiles, y dicho cambio implica una oferta a los accionistas de Smiles con un precio implícito de R$ 27,00 por acción, por lo que los accionistas recibirán por cada acción común emitida por Smiles de la que posean. GOL y Smiles dijeron que divulgarán el Aviso a los Accionistas a su debido tiempo informándoles del plazo para ejercer el derecho de receso y sobre los demás pasos relacionados con la implementación de la reorganización.

En un comentario de mercado, Agora Research dijo: «Después de especializar su propuesta dos veces el mismo día, Gol informó que las minorías de Smiles aprobaron la salida de la compañía del nuevo mercado y la incorporación de la compañía por la aerolínea, bajo la última cantidad revelada. Con este paso, Gol disminuye la brecha estructural ante sus compañeros y evita tener que estructurar una nueva propuesta para promover el movimiento deseado durante más de tres años. A pesar del impacto positivo a corto plazo, seguimos siendo neutrales con respecto a Gol (GOLL4)».

A Assembleia Geral Extraordinária da empresa do programa de passageiro frequente aprovou a reorganização após a GOL Linhas Aéreas aumentar sua oferta aos acionistas da Smiles, e tal alteração implica uma oferta aos acionistas da Smiles com um preço implícito de R$ 27,00 por ação, para o qual acionistas receberá por cada ação ordinária de emissão da Smiles de sua propriedade. A GOL Linhas Aéreas esclarece que todas as demais condições constantes do Fato Relevante de 12 de Fevereiro de 2021 e do Protocolo e Justificação permaneceram inalterados. A GOL e a Smiles informaram que divulgarão oportunamente o Aviso aos Acionistas, informando-os do prazo para exercício do direito de retirada e das demais etapas relacionadas à implementação da reorganização.

Em comentário ao mercado, a Agora Research afirmou: “Depois de especializar sua proposta duas vezes no mesmo dia, a Gol informou que os minoritários da Smiles aprovaram a saída da empresa do novo mercado e a incorporação da empresa pela companhia aérea, pelo último valor revelado. Com essa etapa, a Gol reduz o gap estrutural com seus pares e evita ter que estruturar uma nova proposta para promover o movimento desejado por mais de três anos. Apesar do impacto positivo de curto prazo, continuamos neutros em relação ao Goal (GOLL4)”.

Posadas incorpora nuevo ILS

Nuevo sistema ILS en el Aeropuerto Posadas, Argentina

El Ministerio de Transporte de la Nación de la República Argentina, a través de la Empresa Argentina de Navegación Aérea (EANA), ha instalado un nuevo sistema ILS en el Aeropuerto Posadas, que además de reemplazar un sistema que tenía 25 años de antigüedad, aporta tecnología y permite mejorar la operatividad de las aeronaves en condiciones climatológicas desfavorables. En línea con la decisión del Ministro de Transporte de incorporar tecnología en el sector aéreo con el objetivo de mejorar la seguridad operativa, la EANA puso en marcha un nuevo sistema de aterrizaje por instrumentos ILS en la cabecera de la Pista 19 del Aeropuerto Internacional Posadas/Libertador General José de San Martin, ubicado en la Ciudad de Posadas, Provincia de Misiones.

El Ministro de Transporte Mario Meoni expresó: “Estamos desarrollando un Plan de Modernización del Transporte que incorpora nueva tecnología y mejora la infraestructura de todos los aeropuertos del país porque las y los argentinos merecen un sistema de transporte de calidad que les permita viajar seguros y que, a su vez, genere cada día más oportunidades de desarrollo. Ese es el desafío que tenemos y es el camino que transitamos para poner a la Argentina de pie”. En este sentido, la medida significa un avance tecnológico integral para el Aeropuerto de Posadas y permite avanzar en la previsibilidad de las operaciones asegurando índices de disponibilidad mayores a los actuales. Además, el nuevo ILS de Posadas también incorpora un transmisor de señales DME logrando que las tripulaciones puedan conocer con exactitud su distancia al aeropuerto. A su vez, una vez finalizada la instalación del nuevo sistema ILS, los equipos técnicos comprobaron el correcto funcionamiento inicial de los transmisores y las antenas del nuevo ILS con aviones dotados de equipos especiales de medición y se realizaron una serie de aproximaciones a la pista para establecer fehacientemente la estabilidad, precisión y calidad de las señales radioeléctricas, que aseguraron la confiabilidad del servicio.

El anterior ILS de Posadas llevaba más de 25 años de antigüedad y su reemplazo, por el actual capaz de operar en Categoría II, incluyó el cambio de todas las antenas, la construcción de nuevas bases de hormigón y casetas protectoras para los equipos y la instalación de un sistema de comunicaciones robusto y duplicado (por fibra óptica y antenas de radioenlace) entre los equipos y la torre de control, que permite, tanto al personal de control de tránsito aéreo como al de servicio técnico, tener un seguimiento continuo del funcionamiento del sistema.

El Ministerio de Transporte ha puesto en marcha un plan integral para la instalación del Sistema ILS en los principales aeropuertos del país con el objetivo de incrementar la seguridad aérea y mejorar el servicio del transporte en todo el país.

In turn, once the installation of the new ILS system was completed, the technical teams checked the correct initial operation of the transmitters and antennas of the new ILS with aircraft equipped with special measurement equipment and a series of approaches to the runway were made to to establish reliably the stability, precision and quality of the radioelectric signals, which ensured the reliability of the service.

The previous Posadas ILS was more than 25 years old and its replacement, by the current one capable of operating in Category II, included the change of all antennas, the construction of new concrete bases and protective huts for the equipment and the installation. of a robust and duplicated communications system (via fiber optics and radio link antennas) between the equipment and the control tower, which allows both air traffic control and technical service personnel to have continuous monitoring of the operation of the system.

The Ministry of Transportation has launched a comprehensive plan for the installation of the ILS System in the main airports of the country with the aim of increasing air safety and improving the transportation service throughout the country.
