Proceso integración busca aprobación Avianca

Luego que el Ministerio de Transporte de Colombia ha aprobado la integración de las líneas aéreas Avianca y Viva Air Colombia, la decisión final recaerá sobre Avianca. El Ministro Guillermo Reyes ha solicitado a la aerolínea abordar una pronta decisión sobre el proceso que fue aprobado en los últimos días por la Aerocivil.

El Miércoles 22/03 la Aeronáutica Civil de Colombia dio el visto bueno para que la low cost se integrara con Avianca. Mientras las dos aerolíneas y los terceros interesados en la compra de la compañía de bajo costo puedan presentar recursos de reposición y de apelación, la decisión final de fusión aún continuará pendiente de aprobación final. En caso de que Avianca no acepte las condiciones de la Aerocivil para integrarse con Viva Air, la única forma de garantizar los derechos de los pasajeros de la low cost sería que otras aerolíneas les facilitarán sus vuelos, siempre y cuando estas tuvieran disponibilidad. Actualmente existen 900.000 reservas de pasajes.

El futuro de la low cost podría llegar a definirse hasta dentro de un plazo de tres meses. Mientras tanto, Wingo, LATAM Airlines Group, JetSMART Airlines Group y Aerolíneas Argentinas que representan los terceros interesados en adquirir la aerolínea low cost tienen hasta hasta este 26 de Marzo de 2023 para radicar recursos de queja contra la integración y hast ala primer semana de Abril 2023 para presentar apelaciones o recursos de reposición. Una vez cumplido ese plazo para la presentación de dichas herramientas jurídicas, la autoridad aérea tendrá hasta dos meses para realizar el estudio de los alegatos y dar una respuesta a ellos.

Ante la situación de transición, el Ministro de Transporte dio a conocer el Jueves 23/03 la activación del Puesto de Mando Unificado (PMU) en conjunto con la Aeronáutica Civil, la Superintendencia de Transporte, la Superintendencia de Industria y Comercio y demás aerolíneas, con el fin de analizar cómo pueden garantizar los viajes de los usuarios de la low-cost.

Condicionamientos integración
La Aeronáutica Civil ha comunicado el 22 de Marzo de 2023, la principal condición que deberá cumplir Avianca Airlines para poder integrarse con Viva Air Colombia es garantizar que todos los pasajeros afectados por el cese de operaciones de la low-cost tengan un reembolso de los vuelos que les fueron cancelados o a la vez que se les permitirá cumplir con los trayectos que aún tienen programados. Entre los lineamientos se solicita la devolución de los slots que impliquen agravar la situación de concentración en las franjas más demandadas tanto para la temporada de verano como para invierno. Debido a que la integración aún no está en firme, Avianca indicó que “no está facultada para intervenir en la situación operativa ni financiera de la aerolínea Viva Air, ni podrá resolver, como exige la resolución, la situación de los usuarios afectados por la low-cost”.

Eastern Airways vuelos a Paris/Orly

Alianza en colaboración con Air France

La aerolínea regional británica Eastern Airways lanzará tres rutas a París-Orly/ORY el próximo Abril 2023 en asociación con Air France. Las rutas East Midlands/EMA—Paris Orly/ORY y Southampton/SOU—Paris Orly/ORY comenzarán el 14 de Abril de 2023, la ruta Cardiff/CWL—Paris Orly/ORY el 21/04. Los servicios operarán diariamente (1Frq/D) en las tres rutas. Eastern Airways podrá interalinearse con Air France y se está finalizando un acuerdo de código compartido. Los vuelos están disponibles para reservar en el sitio web de Eastern Airways y en breve a través del sitio web de Air France.

Roger Hage, Director Comercial de Eastern, dijo: «Estos tres servicios entre el Reino Unido y Francia iniciarán la nueva cooperación entre Eastern Airways y Air France que se convertirá en una asociación de código compartido en el transcurso de este año».

La principal ventaja de Paris Orly es su proximidad a muchas áreas del centro de París en comparación con el principal aeropuerto Charles de Gaulle (CDG). Ultra Air obligada a ajustes en aerolínea

La aerolínea chilena JetSMART Airlines Group ha anunciado el 22 de Marzo de 2023 que desistía de su solicitud de comprar a la línea aérea low cost Ultra Air. Ante su delicada situación económica la low-cost colombiana se pronunció por la posición de la aerolínea del grupo Indigo Partners y aseguró que la cancelación del proceso de interés de adquisición, obligaría a ajustar sus operaciones aéreas. Ultra Air respondió ante la nueva postura de JetSMART: “La salida del acuerdo puede obligarnos a ajustar la operación”.

La compañía aérea de bajo costo hizo un llamado al Gobierno de Colombia para que les brinde su apoyo, con el fin de mantener las operaciones de su servicio. “Seguimos trabajando para obtener nuevos recursos de nuestros inversionistas y banqueros, ya que la salida de JetSMART del acuerdo firmado, puede obligarnos a ajustar la operación, caso en el cual estaremos contactando a nuestros clientes para minimizar los impactos que estos cambios puedan generarles”, informó la compañía aérea Ultra Air.

En medio del complejo contexto de aviación en Colombia, Ultra Air es parte de la difícil situación a la que se ha enfrentado el mercado aéreo colombiano debido al precio del combustible, la inflación, la tasa de cambio y la incertidumbre ante la suspensión de operaciones del operador del 25 por ciento del mercado, por lo que hizo un llamado al Gobierno para que le brinden apoyo a la low-cost, con el fin de continuar prestando servicio de transporte aéreo a sus usuarios. “Como empresa netamente colombiana, seguimos trabajando con nuestros 350 colaboradores directos, 1500 indirectos, proveedores, accionistas y las autoridades para defender el bajo costo a favor de los colombianos”, expresó Ultra Air en su comunicado.

Las aerolíneas Ultra Air y JetSMART Airlines Chile habían celebrado el 16 de Marzo de 2023 una Carta de Entendimiento (LoU) para que la compañía aérea chilena comprara la aerolínea colombiana, a menos de una semana, la negociación había cancelado. Por medio de un comunicado JetSMART dio a conocer en la noche del 22/03 que decidió dar por terminado el proceso y cancelar la compra de Ultra Air, tras la etapa de análisis propia de este tipo de negociaciones. “Hemos avanzado en el proceso y consideramos, que, por diversos factores, no es posible continuar con la intención de compra Ultra Air y hemos cancelado la carta de entendimiento y dado por terminado el proceso”, informó el Presidente y CEO de JetSMART, Estuardo Ortíz.

Perspectivas JetSMART Colombia
La aerolínea chilena aseguró que la decisión de cancelación de compra de Ultra Air no influirá en los proyectos que tiene JetSMART a futuro en el mercado aéreo colombiano. “Nuestro compromiso y confianza en el mercado colombiano sigue firme. Como hemos afirmado en todo este tiempo, en JetSMART continuaremos enfocados en cumplir los requisitos de nuestro proceso de certificación trabajando de cerca con la Aeronáutica Civil, quienes se han desempeñado con el más alto nivel de profesionalismo. De esta manera, esperamos obtener nuestro permiso de Operador Aéreo en Colombia, con miras a iniciar la operación lo antes posible y poder así participar del proceso de reasignación de slots en el Aeropuerto El Dorado”, señaló Estuardo Ortíz.

Después de casi ocho meses, la Aeronáutica Civil de Colombia ha aprobado la solicitud de integración Avianca–Viva Air con algunas condiciones que deberán cumplir las aerolíneas. Avianca estudia la medida de Aerocivil y dice que solo podrá intervenir en Viva Air cuando la decisión quede en firme. Tras conocerse la decisión de la sinergia, Avianca Airlines aseguró que estudiará la viabilidad e implicaciones de cumplir con las exigencias de la integración, dadas las implicaciones operativas, financieras y técnicas que que comprometen una fusión.

En medio del revuelo económico por la que atraviesan las líneas aéreas en el mercado colombiano, Avianca ha expresado que Viva Air actualmente no cuenta con las mismas capacidades de red de rutas, aviones y trabajadores que tenía antes de la suspensión de sus operaciones, por lo que debe analizar «la pertinencia de las condiciones establecidas por la Aeronáutica Civil».

Avianca recordó que a la decisión de la resolución de Aerocivil continúan recursos de apelación y reposición tanto de los intervinientes en la integración como de aerolíneas reconocidas en el proceso, como LATAM Airlines, Wingo, Ultra Air y Aerolíneas Argentinas, «por lo que la aprobación con condicionamientos aún no está en firme y hasta que eso ocurra, no estamos facultados para intervenir en la situación operativa ni financiera de Viva ni podremos resolver, como exige la resolución, la situación de los usuarios afectados por la low cost», emitió el comunicado de Avianca Airlines.

Grandes aerolíneas unen detrás de JetBlue contra DOJ

JetBlue Airways ha anunciado las fechas récord y de pago para los pagos anticipados adicionales a los accionistas de Spirit Airlines luego de que el Presidente Ejecutivo Robin Hayes se comprometiera nuevamente la semana pasada de luchar contra lo que llamó la demanda sin precedentes del Departamento de Justicia (DOJ) de los Estados Unidos para detener su fusión planificada valorada en US$ 3.8 mil millones de Dólares.

En una declaración del 17 de Marzo de 2023, JetBlue anunció que había establecido el 27/03 como la fecha récord para el prepago a los accionistas de Spirit Airlines de US$ 0.10 por acción de Spirit Airlines, con el pago del prepago adicional del 31/03 en línea con el acuerdo de fusión.

Hablando en la conferencia de JP Morgan Industrials el 14/03 Robin Hayes reconoció que la demanda del Departamento de Justicia presentada el 07/03 en el Tribunal de Distrito de los Estados Unidos en Massachusetts fue inesperada: «No tiene precedentes. No es algo que hayamos visto antes», expresa el CEO de JetBlue Airways. Cuando se le preguntó sobre su opinión y sobre el Departamento de Transporte (DOT), dijo que la compañía estaba enfocada en ganar el caso. «Al final del día, el Departamento de Justicia tiene una opinión. Así que personalmente creo que si vamos a juicio ganaremos el caso».

Cuando se le preguntó cuáles serían las implicaciones si operar con un Certificado de Operador Aéreo (AOC) único se retrasa por algún tiempo, Robin Hayes no se comprometió, diciendo que sería en interés de las aerolíneas, los trabajadores y las comunidades si el caso se resolviera rápidamente. «Nuestra prioridad número uno en este momento es prepararnos para el juicio, litigar nuestros argumentos y ganar el caso», sentenció el Presidente de JetBlue Airways.

Sobre la batalla legal del Departamento de Justicia para detener la llamada asociación comercial de la Alianza del Noreste (NEA) entre JetBlue Airways y American Airlines anunciada en Julio de 2020, dijo que JetBlue estaba esperando escuchar el resultado del caso juzgado en el Tribunal de Distrito de los Estados Unidos en Boston en Septiembre de 2022. «Realmente no cambia nada en el sentido de que estamos operando la NEA hoy. […] Tomó la mayor parte de un año implementarlo, pero luego entraremos en el cuarto año. Así que, de nuevo, creo que los beneficios están ahí para que todos los vean. JetBlue nunca ha sido más grande en Nueva York. Hemos crecido en Boston gracias al NEA, y nos gustaría poder seguir haciéndolo».

Las opiniones de Robin Hayes sobre la NEA fueron repetidas por el CEO de American Airlines, Robert Isom, quien expresó confianza en la alianza y dijo que no había un Plan B: «La NEA está produciendo valor por lo que no puedo imaginar que se dictamine en contra. Todo lo que hemos hecho ha producido beneficios para el consumidor, y todas las preocupaciones nunca han surgido. Hemos estado operando esto ahora por un par de años. Así que no estoy viendo un Plan B».

Cuando se le preguntó por su opinión sobre la fusión JetBlue-Spirit, el CEO de United Airlines, Scott Kirby, admitió que bloquearla no me parecía justo ni correcto: «Decir que una aerolínea no puede combinarse para ser la quinta más grande del mundo cuando la escala importa, si yo fuera Robin estaría escupiendo enojado. Es de esperar que JetBlue Airways continue presentando las apelaciones correspondientes de los casos para alcanzar a su criterio los justos acuerdos entre las aerolíneas.

Aerocivil aprueba sinergia Avianca Viva Air Colombia

La agencia de aeronáutica Aerocivil Colombia ha aprobado finalmente la integración de Viva Air Colombia con Avianca Airlines el Martes 21/03. En un comunicado que publicó la autoridad aeronáutica confirmando la decisión de integración de ambas aerolíneas bajo un mismo grupo.

La integración de la aerolínea de bajo costo Viva Air con Avianca ha sido establecida bajo ciertas condiciones, entre ellas la reintegración del monto del valor de los pasajes a los usuarios afectados por la suspensión de operaciones de Viva Air. “Que se respeten los derechos de los usuarios de Viva, se les reembolsen los tiquetes de vuelos cancelados y se les permita volar a quienes tienen pasajes pendientes de ejecutar. En todo caso, deberán responder a los pasajeros de Viva afectados por las decisiones unilaterales de la empresa de cesar sus operaciones”, afirmaron desde el agencia reguladora.

También tendrán que desprenderse de una cantidad de permisos de franjas horarias (slots), que representan los permisos de despegues y aterrizajes en el Aeropuerto Internacional Bogotá (BOG), lo que equilibraría el mercado para no abusar de posición dominante ni competencia desleal con otras aerolíneas. “La devolución de los slots que impliquen agravar la situación de concentración en las franjas más demandadas (prime) tanto para la temporada Summer como para Winter, tanto en salidas como en llegadas, con el propósito de no incrementar las barreras de entrada que a este mercado genera el acceso a la infraestructura del Aeropuerto El Dorado”, agregaron.

En el documento emitido por la Aerocivil también señalaron que una vez se lleve a cabo la integración de Viva Air con Avianca, tendrán que seguir garantizando y ofreciendo viajes a bajo costo. “Mantener el esquema low cost de Viva Air como opción en materia de transporte aéreo, que materialice opciones a los usuarios del servicio aéreo”.

Respecto a las rutas aéreas, la nueva asociación deberá efectuar la devolución de frecuencias de la ruta Bogotá/BOG—Buenos Aires/EZE que fue la más impactada tras la suspensión de operaciones de esa compañía aérea.

El anuncio de la autorización para la integración de las aerolíneas estaba programado para el Martes 21/03 por la tarde para determinar las aprobaciones respectivas de sinergia. La Aerocivil aseguró que la decisión se tomó tras hacer un balance de la crisis que provocó la suspensión de operaciones de Viva Air, las acciones que debía llevar a cabo esa compañía para garantizar la libre competencia en caso de darse la integración Avianca y no afectar a las otras aerolíneas que hay en el país o las que puedan llegar a ofrecer sus servicios.

JetSMART quiere comprar aerolínea colombiana low cost Ultra Air

La aerolínea chilena JetSMART Airlines Group firmó una carta de entendimiento con la intención de comprar Ultra Air. JetSMART Group anunció en un comunicado que firmó el Jueves 16/03 una carta de entendimiento con Ultra Air, con la que se inicia un proceso de due diligence “que permitirá a JetSMART conocer la información técnica y financiera que demanda este tipo de negociaciones”. El proceso se completaría en los siguientes treinta días. Pasado ese periodo y en caso de que el resultado sea positivo, JetSMART y Ultra Air procederán con el sometimiento de dicho acuerdo de compra, a la revisión y aprobación de las autoridades de aviación, tal y como lo establecen las normas para este tipo de transacciones.

Desde la compañía también confirmaron que “durante el proceso de due dilligence, Ultra Air continuará operando bajo los parámetros administrativos, operacionales y financieros de la actual administración, sin que JetSMART tenga responsabilidad o injerencia alguna sobre la dirección, operación, los servicios y/o las finanzas de Ultra Air. Creemos en el potencial del mercado colombiano y estamos decididos a aportar y sumar al desarrollo del turismo y el empleo en el país. Hemos visto las cualidades operativas y comerciales de Ultra Air y hemos llegado a un acuerdo de los términos de la compra de la aerolínea. Esperamos avanzar de forma eficiente en el due dilligence y trabajar de cerca con las autoridades encargadas de las aprobaciones respectivas”, señaló Estuardo Ortiz, Presidente y CEO de JetSMART Airlines Group.

En Febrero 2023 JetSMART anunció que estaba interesada en adquirir Viva Air, aerolínea que el mes pasado cesó operaciones y que ahora está siendo investigada por estafa por las autoridades colombianas por haber vendido boletos con normalidad horas antes de cancelar sus vuelos, dejando varados a miles de pasajeros de México a Argentina. JetSMART Airlines busca incorporar la compra de Ultra Air de manera ejemplar, evitando el incongruente proceso elaborado por la fusión Avianca-Viva Air.

El grupo JetSMART Airlines se ha convertido en la línea aérea de más rápido crecimiento en Sudamérica y actualmente cuenta con una flota compuesta por las tres aerolíneas JetSMART Airlines Argentina (8), JetSMART Airlines Perú (3), JetSMART Airlines Chile (13), con un total de treinta y cuatro unicades y una orden firme de Airbus A320 y A321 que la llevará a superar una flota de más de cien aeronaves hacia 2029. Chilean airline JetSMART Airlines Group signed a letter of understanding with the intention of buying Ultra Air. We believe in the potential of the Colombian market and we are determined to contribute and add to the development of tourism and employment in the country. We have seen the operational and commercial qualities of Ultra Air and we have reached an agreement of the terms of the purchase of the airline. We hope to advance efficiently in Due Dilligence and work closely with the authorities in charge of the respective approvals”, said Estuardo Ortiz, President and CEO of JetSMART Airlines Group.

For his part, the president and CEO of Ultra Air, William Shaw, stressed that after a year of successful operation in the country “it is very satisfactory reliability. Meanwhile we advance in this stage of exploration and negotiation, Colombian travelers can continue to enjoy our friendly service reliably and ultra low cost”.

In February 2023 JetSMART announced that she was interested in acquiring Viva Air, an airline that last month ceased and that she is now being investigated for fraud by the Colombian authorities for having sold tickets normally before canceling her flights, leaving stranded to thousands of Passengers from Mexico to Argentina. Transporte Canadá aprueba adquisición de Sunwing Airlines

Transport Canada ha aprobado la adquisición de Sunwing Airlines por parte de WestJet Airlines Group. Entre las condiciones impuestas se encuentra el requisito de poner fin gradualmente a la práctica de arrendamiento estacional de la aerolínea canadiense Sunwing Airlines. WestJet Airlines cree que la compra aumentará su capacidad de ofrecer tarifas más asequibles.

El Gobierno canadiense ha dado el visto bueno a la adquisición de Sunwing Airlines y Sunwing Vacations por parte de WestJet Airlines con términos y condiciones. El Departamento de Justicia (DOJ) de Estados Unidos ha presentado una demanda judicial para evitar que la compañía aérea JetBlue Airways compre por la suma de US$ 3.800 millones de Dólares la aerolínea Spirit Airlines. Es la primera vez en más de dos décadas que el Gobierno de Estados Unidos interviene para bloquear una fusión de aerolíneas, y es la medida antimonopolio más reciente del Gobierno de Joe Biden.
