Aerocivil aprueba sinergia Avianca Viva Air Colombia

La agencia de aeronáutica Aerocivil Colombia ha aprobado finalmente la integración de Viva Air Colombia con Avianca Airlines el Martes 21/03. En un comunicado que publicó la autoridad aeronáutica confirmando la decisión de integración de ambas aerolíneas bajo un mismo grupo.

La integración de la aerolínea de bajo costo Viva Air con Avianca ha sido establecida bajo ciertas condiciones, entre ellas la reintegración del monto del valor de los pasajes a los usuarios afectados por la suspensión de operaciones de Viva Air. “Que se respeten los derechos de los usuarios de Viva, se les reembolsen los tiquetes de vuelos cancelados y se les permita volar a quienes tienen pasajes pendientes de ejecutar. En todo caso, deberán responder a los pasajeros de Viva afectados por las decisiones unilaterales de la empresa de cesar sus operaciones”, afirmaron desde el agencia reguladora.

También tendrán que desprenderse de una cantidad de permisos de franjas horarias (slots), que representan los permisos de despegues y aterrizajes en el Aeropuerto Internacional Bogotá (BOG), lo que equilibraría el mercado para no abusar de posición dominante ni competencia desleal con otras aerolíneas. “La devolución de los slots que impliquen agravar la situación de concentración en las franjas más demandadas (prime) tanto para la temporada Summer como para Winter, tanto en salidas como en llegadas, con el propósito de no incrementar las barreras de entrada que a este mercado genera el acceso a la infraestructura del Aeropuerto El Dorado”, agregaron.

En el documento emitido por la Aerocivil también señalaron que una vez se lleve a cabo la integración de Viva Air con Avianca, tendrán que seguir garantizando y ofreciendo viajes a bajo costo. “Mantener el esquema low cost de Viva Air como opción en materia de transporte aéreo, que materialice opciones a los usuarios del servicio aéreo”.

Respecto a las rutas aéreas, la nueva asociación deberá efectuar la devolución de frecuencias de la ruta Bogotá/BOG—Buenos Aires/EZE que fue la más impactada tras la suspensión de operaciones de esa compañía aérea.

El anuncio de la autorización para la integración de las aerolíneas estaba programado para el Martes 21/03 por la tarde para determinar las aprobaciones respectivas de sinergia. La Aerocivil aseguró que la decisión se tomó tras hacer un balance de la crisis que provocó la suspensión de operaciones de Viva Air, las acciones que debía llevar a cabo esa compañía para garantizar la libre competencia en caso de darse la integración Avianca y no afectar a las otras aerolíneas que hay en el país o las que puedan llegar a ofrecer sus servicios.

Avianca ha comunicado que ha ampliado la fecha para la reubicación de los pasajeros afectados por la suspensión de los vuelos de Viva Air, estableciendo una fecha hasta el Viernes 24 de Marzo de 2023, sin embargo, advirtió que estas modificaciones están sujetas a disponibilidad de ocupación. Reiteraron que los usuarios interesados deben acercarse a los aeropuertos el día que tienen programado el vuelo, o máximo un día antes del mismo. Avianca también anunció que puso a disposición de los usuarios de Viva Air, tarifas de protección por trayecto en destinos nacionales e internacionales que antes operaba la aerolínea de bajo costo. Los pasajeros que podrán hacer uso de esta opción, son aquellos que hayan comprado sus tiquetes entre el 27 de Febrero y el 9 de Abril de 2023.

Desde el 28/02, día en que se desató la polémica por la suspensión de actividades de Viva Air, que está bajo la investigación de las autoridades competentes por vender tiquetes a usuarios, aun cuando la empresa tenía conocimiento del cese a sus actividades por falta de solvencia financiera. Kuwait firma acuerdo bilateral interlínea con Malaysia Airlines

Kuwait Airways anunció la firma de un acuerdo bilateral interlínea con Malaysia Airlines para mejorar el marco de cooperación entre las dos aerolíneas en el sector del transporte aéreo comercial, a partir del 1 de Abril de 2023. El acuerdo fue firmado por el Director Ejecutivo de Kuwait Airways, Ing. Maen Razouqi y el Director Ejecutivo de Malaysia Airlines, Capitán Izham Ismail al margen de una ceremonia celebrada en la capital de Malasia, Kuala Lumpur, a la que asistieron numerosos funcionarios, en representación de ambas aerolíneas.

Hablando en la ocasión, el Director Ejecutivo de Kuwait Airways, el Ing. Maen Razouqi expresó: «Kuwait Airways se complace en firmar el acuerdo bilateral interlínea con Malaysia Airlines. JetSMART quiere comprar aerolínea colombiana low cost Ultra Air

La aerolínea chilena JetSMART Airlines Group firmó una carta de entendimiento con la intención de comprar Ultra Air. En medio del convulsionado mercado aéreo colombiano, asoma un movimiento de intereses para captar mayor mercado aéreo. La aerolínea chilena JetSMART anunció que está evaluando la posibilidad de comprar el 100% de las acciones de la aerolínea colombiana de bajo costo Ultra Air, fundada por el mexicano William Shaw, quien también fundó Viva Air.

JetSMART Group anunció en un comunicado que firmó el Jueves 16/03 una carta de entendimiento con Ultra Air, con la que se inicia un proceso de due diligence “que permitirá a JetSMART conocer la información técnica y financiera que demanda este tipo de negociaciones”. El proceso se completaría en los siguientes treinta días. Pasado ese periodo y en caso de que el resultado sea positivo, JetSMART y Ultra Air procederán con el sometimiento de dicho acuerdo de compra, a la revisión y aprobación de las autoridades de aviación, tal y como lo establecen las normas para este tipo de transacciones.

Desde la compañía también confirmaron que “durante el proceso de due dilligence, Ultra Air continuará operando bajo los parámetros administrativos, operacionales y financieros de la actual administración, sin que JetSMART tenga responsabilidad o injerencia alguna sobre la dirección, operación, los servicios y/o las finanzas de Ultra Air. Creemos en el potencial del mercado colombiano y estamos decididos a aportar y sumar al desarrollo del turismo y el empleo en el país. Hemos visto las cualidades operativas y comerciales de Ultra Air y hemos llegado a un acuerdo de los términos de la compra de la aerolínea. Esperamos avanzar de forma eficiente en el due dilligence y trabajar de cerca con las autoridades encargadas de las aprobaciones respectivas”, señaló Estuardo Ortiz, Presidente y CEO de JetSMART Airlines Group.

Por su parte, el Presidente y CEO de Ultra Air, William Shaw, destacó que tras un año de operación exitosa en el país “es muy satisfactorio registrar el interés de compra de una aerolínea como JetSMART, cuya trayectoria de desarrollo y crecimiento denota seriedad y confiabilidad. En tanto avanzamos en esta etapa de exploración y negociación, los viajeros colombianos podrán seguir disfrutando de nuestro servicio amigable de manera confiable y a ultra bajo costo”.

En Febrero 2023 JetSMART anunció que estaba interesada en adquirir Viva Air, aerolínea que el mes pasado cesó operaciones y que ahora está siendo investigada por estafa por las autoridades colombianas por haber vendido boletos con normalidad horas antes de cancelar sus vuelos, dejando varados a miles de pasajeros de México a Argentina. JetSMART Airlines busca incorporar la compra de Ultra Air de manera ejemplar, evitando el incongruente proceso elaborado por la fusión Avianca-Viva Air.

El grupo JetSMART Airlines se ha convertido en la línea aérea de más rápido crecimiento en Sudamérica y actualmente cuenta con una flota compuesta por las tres aerolíneas JetSMART Airlines Argentina (8), JetSMART Airlines Perú (3), JetSMART Airlines Chile (13), con un total de treinta y cuatro unicades y una orden firme de Airbus A320 y A321 que la llevará a superar una flota de más de cien aeronaves hacia 2029. La aerolínea británica Virgin Atlantic Airways se convirtió oficialmente en miembro de pleno derecho de la alianza global de aerolíneas de SkyTeam el Jueves 2 de Marzo de 2023. Esto sucedió después de la firma ceremonial de los documentos de adhesión en Londres. Virgin Atlantic se convirtió así en la primera y hasta ahora la única aerolínea británica en unirse a SkyTeam.

Virgin Atlantic está controlada por dos grandes accionistas. El 51% de las acciones están en manos de Virgin Group, un grupo propiedad de su fundador, Sir Richard Branson. El 49% restante de las acciones desde 2012 posee la aerolínea estadounidense Delta Air Lines. Las relaciones con Delta Air Lines y Air France-KLM llevaron a Virgin Atlantic a formar una empresa conjunta con estas aerolíneas para operar rutas transatlánticas. Existen avances en el proceso de evaluación que adelanta la Aeronáutica Civil de Colombia frente a la solicitud de integración que hicieron Avianca y Viva Air. Se ha dado traslado a estas dos aerolíneas para que en tres días hábiles se pronuncien sobre la solicitud de tercerías presentadas por cinco aerolíneas con interés en Viva Air Colombia: Aerolíneas Argentinas, Ultra Air S.A.S., Wingo, LATAM Airlines y JetSMART Airlines. Avianca Airlines como Viva Air tienen quince días hábiles para pronunciarse de otros escritos presentados por terceros “y de ser el caso la controviertan, en los términos del Numeral 4 de la Ley 1340 de 2009″. Además, se comunica sobre el caso a la Superintendencia de Transporte “como entidad que ejerce control y vigilancia para que, de considerarlo pertinente, intervenga en el presente trámite a efectos de aportar elementos de utilidad para el análisis de la operación proyectada, advirtiéndole que para tal efecto tiene un plazo de 15 días hábiles, conforme a lo dispuesto en los artículos 8 y 10 de la Ley 1340 de 2009″.

La agencia que regula la aviación comercial Aerocivil Colombia detectó un error en los procesos en la primera decisión de objeción que hizo frente al caso Avianca-Viva Air. En primer término Viva Air se acogió a un proceso de insolvencia bajo Decreto Nº560 del Proceso de Recuperación Empresarial para superar su difícil situación financiera. Consecutivamente, tanto JetSMART Airlines Group como LATAM Airlines Group han mostrado interés en adquirir la aerolínea low cost colombiana.

Viva Air deja cinco aviones

Una drástica decisión ha tomado Viva Air ante la crisis económica que atraviesa. La aerolínea informó que a partir del 21 de Febrero del 2023 dejarán de operar cinco aviones Airbus A320NEO donde se afectarán a 300 trabajadores por esta medida. La empresa anotó que luego de acogerse al Decreto Nº560 para el Proceso de Recuperación Empresarial se presentaron importantes negociaciones con los dueños de los aviones buscando llegar a acuerdos, pero a pesar de esto fueron notificados por uno de ellos que deben dejar en tierra, por el momento, cinco de los aviones hasta nueva orden en los Estados Unidos. La confirmación proviene del Abogado Carlos Roncancio, que representa a la organización Sindicato de Trabajadores del Transporte Aéreo Colombiano Servicios Logística y Conexos (SINTRATAC). “Desde hace rato Viva Air está en cesación de pagos, hoy económicamente la compañía esta muy mal. Nos enteramos que mañana cinco aviones se van, con lo cual prácticamente 300 trabajadores directos van a ver afectados su empleo”, expresó Carlos Roncancio.

Producto de la baja comercial de estas aeronaves, personal de pilotos, auxiliares de vuelo y técnicos quedarían cesantes en el cumplimiento de sus funciones. El abogado anotó que esos 5.000 trabajadores están vinculados de manera directa e indirecta, pues la empresa construyó durante más de diez años empleos formales y de calidad, sumando además el desarrollo económico que permitió a diversas regiones del país la posibilidad que da acceso al transporte aéreo a todos los colombianos.

Ante la falta de programación de vuelos, LATAM Airlines Colombia dispuso de sus aeronaves para reacomodar los pasajeros de Viva Air que se verán afectados por la decisión. Las reprogramaciones o cancelaciones que tengan fecha de vuelo entre el 21 y el 27 de Febrero de 2023, y que hayan adquirido sus tiquetes antes del 20/02 pueden tramitarse el endoso o cancelación. “Este ofrecimiento se puso a disposición de Viva Air Colombia en aras de ayudar en la protección de sus pasajeros”, subrayó en el comunicado LATAM Airlines Colombia.

Integración Avianca-Viva Air

La solicitud de integración de Avianca-Viva Air se ha pospuesto la negociación por el espacio de una semana, con el fin de evaluar si la Aeronáutica Civil (Aerocivil) tendrá una respuesta favorable sobre la solicitud de integración. Además, que en caso de que exista una solicitud, esta estaría sujeta a un periodo de espera adicional para obtener las autorizaciones regulatorias aplicables, tiempo que Viva Air no tiene para mantenerse en el mercado.

La Aerocivil dio a conocer cómo va el proceso de integración de Avianca y Viva Air. Por medio de la Resolución Nº300 del 17 de Febrero del 2023, estableció que el trámite continuará bajo el Artículo 10 de la Ley Nº1340 de 2009, por medio de la cual se dictan normas en materia de protección de la competencia. Con esto decidió comunicar a la Superintendencia de Transporte, como entidad que ejerce control y vigilancia, para que, de considerarlo pertinente, intervenga en el trámite con el fin de aportar elementos de utilidad para el análisis de la operación proyectada, advirtiéndole que tendrá un plazo de quince días, conforme a la ley. De igual forma, la autoridad aeronáutica corrió quince días hábiles para que Avianca y Viva Air se pronuncien con respecto a lo aportado por terceros. Además ambas compañías tienen tres días para pronunciarse sobre las supuestas ofertas de terceros interesados que habría de Aerolíneas Argentinas, Ultra Air, Wingo, LATAM Airlines Colombia y JetSMART Airlines Group.

Plan integración Avianca
Avianca ha enviado un plan para que Aerocivil avale la integración. Avianca sostuvo el Miércoles 15/02 que las propuestas de los otros competidores aéreos por la compañía de bajo costo son inviables, por lo que reiteró a la Aeronáutica Civil (Aerocivil) cuáles son las acciones que ejecutarían para salvar a la aerolínea colombiana si les avalan su proceso de integración. “Avianca considera que las recientes propuestas de distintos competidores son técnicamente inviables, toda vez que cualquier toma de control de Viva requeriría, una vez acordada la compra, procesos de aprobación en diversos países que tomarían tiempo que la low-cost claramente no tiene. […] Por eso, ponemos en tela de juicio la intención real de estas ofertas de actores que luego de oponerse a la integración por meses y negar la existencia de una crisis, hoy quieren aparecer como salvadores con soluciones que carecen de credibilidad”.

Teniendo en cuenta que la Aerocivil había solicitado ajustes sobre los condicionamientos anteriormente presentados para la sinergia Avianca-Viva Air, Avianca detalló a la agencia aeronáutica cuáles son las acciones que adelantarán para salvar a la aerolínea de bajo costo, en caso de que les permitan integrarse en un mismo grupo aéreo.

El punto principal, de acuerdo con la aerolínea, será que si la Aeronáutica Civil le da luz verde para fusionarse con Viva Air Colombia, entregará hasta 105 permisos de despegue y aterrizaje (slots) en el Aeropuerto Internacional Bogotá/El Dorado/BOG, en Bogotá, con el fin de que cualquier aerolínea pueda operar hasta 15 permisos adicionales en dicha terminal aérea. “Con estos espacios disponibles en distintas franjas horarias, que incluyen las de mayor tráfico de pasajeros, cualquier otra aerolínea que cuente con aviones y capacidad de inversión, podría entrar a operar hasta 15 aviones adicionales en El Dorado, el único aeropuerto en Colombia que hoy cuenta con restricciones que limitan la entrada libre a líneas aéreas que quieran competir”, precisó la compañía aérea Avianca. Así mismo señaló que, en su compromiso por salvar Viva Air, mantendría la marca de la aerolínea, su modelo de bajo costo, además de las rutas y aviones que actualmente opera, al igual que todos los puestos de trabajo de sus empleados. En línea con lo anterior, la compañía aérea aseguró que igualmente protegería las tarifas y frecuencias aéreas en las que tanto Avianca y Vivar Air, en conjunto, tengan una alta participación en el mercado. A ello se le suma, según Avianca, que garantizará “que las aerolíneas extranjeras que distribuyen sus pasajeros a través de Viva lo puedan seguir haciendo y con ello su acceso garantizado al mercado colombiano”. La última propuesta de la aerolínea es ofrecer acuerdos de código compartido a la compañía aérea del Estado colombiano, Satena Airlines, en los trayectos en lo que sea el único operador, con el fin de que los territorios más aislados del territorio nacional se puedan conectar a través de la red de destinos de Avianca.
