DIP Financing

Pero la incursión de Apollo Managment como futuro mayor accionista de Aeroméxico representa un problema debido a que el capital extranjero no puede ser más del 49% de capital en una aerolínea mexicana. De esta manera, el clásico expediente de la inversión extranjera neutra denominada DIP.

El manejador de fondos, Apollo Managment, entra a Aeroméxico mediante un financiamiento garantizado llamado DIP Financing (Debtor-In-Possesion). El DIP Financing es un mecanismo financiero que se da en el Capítulo 11 de la Ley de Quiebras en Estados Unidos, donde un financista participa con todo el riesgo de la reestructura financiera y operativa de la empresa. A cambio, tiene garantías para cambiar su préstamo por acciones. La aerolínea posee dos tramos de este tipo de financiamiento para Aeroméxico, uno por valor de US$ 200 millones de Dólares y otros US$ 800 millones de Dólares cuando la aerolínea esté saliendo de la quiebra, para sostener su viabilidad.

Apollo no podría tener decisiones sobre Aeroméxico, sino que dependería del control de los accionistas mexicanos, pero eso se evidencia en los papeles. La aerolínea colombiana Avianca busca reestructurar el pasivo de la compañía para poder salir del Capítulo 11 de la Ley de Quiebras de Estados Unidos. Avianca Holdings ha anunciado tres acuerdos por valor de dos mil millones de Dólares en nuevos fondos bajo la estructura de compromisos de financiamiento preferencial garantizado (DIP), que forma parte de su proceso de reorganización bajo el Capítulo 11. La transacción consistiría en un tramo principal (Tramo A) y otro subordinado (Tramo B), en donde ambos son garantizados por un derecho sobre el colateral disponible. El costeo además de captar fondos, también financiaría las deudas existentes. El total del financiamiento DIP será US$ 2 mil millones de Dólares, que consiste en un Tramo A de US$ 1.300 millones y un Tramo B de US$ 700 millones. Para el proceso de reestructuración Avianca ha contratado a Goldman Sch Lending Partners y JP Morgan, que representarán como coordinadores principales y bookrunners conjuntos.

La compañía llegó a un acuerdo con Al Loyalty, para adquirir una participación adicional del 20% en el programa de lealtad LifeMiles; una vez concluida la adquisición, el transportista sudamericano tendría una participación del 90% en dicho programa. El miembro de la oposición del Parlamento de la República de Fiji, Ro Filipe Tuisawau, ha pedido una investigación urgente sobre la adquisición de aviones por parte de Fiji Airways porque la viabilidad futura de la aerolínea “depende de una situación de filo de cuchillo”. Las aerolíneas de presupuesto en Argentina, Flybondi Líneas Aéreas y JetSmart Airlines Argentina están exigiendo ante la falta de definiciones del Gobierno respecto a la reanudación de los vuelos regulares en Argentina y el reclamo por el Aeropuerto Internacional El Palomar. «Los trabajadores de Flybondi y JetSmart deploramos los recientes dichos del Ministro de Transporte, reflejando una actitud pasiva a la espera de directivas de su par de la cartera de Salud, y desentendiéndose de cualquier precisión acerca del reinicio de la actividad aeronáutica. Peor aún, deslizó que ni siquiera habría vuelos de cabotaje durante los próximos seis meses. Como Ministro de Transporte, el Sr. Meoni debiera estar ocupándose activamente de una situación que afecta a miles de trabajadores aeronáuticos y sus familias, quienes ven amenazada su fuente de trabajo y se encuentran sumidos en la angustia de la incertidumbre», expresaron los gremios, en referencia a la conferencia de la cual participó Mario Meoni el Lunes 10/08. Desde los gremios aeronáuticos y empleados de las líneas aéreas enfatizan la necesidad de certezas y planificación de la programación de reapertura de vuelos, pues la inactividad extendida llevarán a las líneas aéreas a la quiebras masivas. «Entendemos que la evolución de la pandemia es determinante para el regreso de la actividad. Pero vemos con tristeza que el Sr. Ministro hace muy poco para planificar ese regreso de manera ordenada, poniendo así en peligro la fuente de sustento de muchos compatriotas. Ante la gravedad de la situación y la inacción del Ministerio de Transporte, los trabajadores de las líneas de bajo costo Flybondi y JetSmart nos declaramos en estado de alerta y asamblea permanente, exigiendo a las autoridades que cumplan con las responsabilidades asumidas», expresaron las voces gremiales en Argentina.

Trabajadores reúnen para exigir definiciones en la compañía

Los trabajadores de la aerolínea Latam Airlines Argentina retornarán al diálogo en una reunión para el 14/08 en una asamblea en el Aeropuerto Jorge Newbery para decidir los pasos a realizar bajo el plan de lucha para la defensa de los 1.715 puestos de trabajo. «Continuamos con las actividades previstas para la semana y mañana nos reuniremos con los compañeros y compañeras en las puertas del estacionamiento sur del Aeroparque, reclamando por los 1.715 compañeros y sus familias que nos quedamos en la calle», dijo Adrián Troncoso, Supervisor de Operaciones y Secretario de Prensa de Unión Sindical de Trabajadores Aeronáuticos de la República Argentina (USTARA).

Los trabajadores de la compañía en proceso de salida continúan con los reclamos en una solución al conflicto generado por la decisión de la empresa aerocomercial de dejar de operar en el país, una decisión que podría ocasionar el despido por la mayoría de la plantilla de empleados.

Los trabajadores de la compañía aérea realizaron el Martes 11/08 reclamos en la avenida Costanera frente al Aeroparque, marchando hacia la sede del Consulado de Chile en Buenos Aires, ubicada en la Avenida Roque Sáenz Peña 547, donde también llevaron sus reclamos.
