Iberia-Air Europa agreement pressed
Globalia pressures Brussels to formalize acquisition agreement
The Hidalgo family controlling Globalia Corporación Empresarial SA intends that the
Government of Spain intercede with Brussels (European Community) to advance its resolution on the purchase by Iberia, for reasons that there is fear that the aviation group International Aviation Group (IAG) uses a force majeure clause not to proceed with the acquisition of Air Europa in the agreed terms.
Javier Hidalgo, CEO of the Globalia Group, has had several conversations with the Spanish Minister of Transport to convey to Brussels the urgency of the operation. The Hidalgo family has spent in just a month having distributed the empire created by the father, Pepe Hidalgo, to effect the division of their assets. Javier Hidalgo has repeatedly asked José Luis Ábalos, Minister of Transport, Mobility and Urban Agenda, to put pressure on the European Commission to authorize the sale to Iberia Lineas Aereas of Spain as soon as possible, since he considers it to be the only salvation for Air Europa. Meanwhile, the company has already agreed to receive an express loan of € 130 million euros.
Globalia has held talks to get the competition authorities in Brussels to give at the latest in June 2020 the go-ahead for integration into the IAG group, an operation announced on November 3, 2019. Iberia promised to pay € 1 billion euros to Globalia to take control of Air Europa, which in turn was in negotiations with Air France-KLM. But the rest of the competitors, among others, the French-Dutch airline, demanded a series of Remedies conditions to avoid abuses of a dominant position on different air routes. Iberia’s proposal was to transfer Volotea destinations in Madrid, the Canary Islands, the Balearic Islands, Galicia, the Basque Country and Asturias, so this airline would take over the slots once the acquisition of Air Europa is completed.
The initial timetable was for the old state-flagged airline to obtain authorizations from the European Union in the second part of this year. But the eruption of the health crisis of the Coronavirus pandemic has caused a veritable tsunami of economic damage to air transport, with most aircraft on the ground. Both Iberia and Air Europa have requested urgent loans and financing lines from the Government through the National Credit Institute (ICO). But they estimate that if the ban on flying is extended over time, as is beginning to be taken for granted, they would need direct aid, as the United States is negotiating for several of its airlines.
Bearing in mind the prevailing conditions of the post-pandemic commercial aviation environment, the Globalia Group needs express approval of the merger, because otherwise, Air Europa could not endure many months without flying and Iberia, which may also be in serious trouble , could not assume the responsibility of the agreed purchase. Volotea herself would also encounter serious obstacles to her survival.
Officially, Luís Gallego, President of Iberia and future strong man of IAG, maintains his commitment to go ahead with the acquisition of the Globalia airline. But other sources suggest that it can benefit from a force majeure clause, given that this year it is given up and that both companies are going to incur red numbers that make any agreement unfeasible. For this reason, Globalia needs the Government of Spain to take sides, as other countries have done, for two companies that employ around 18,000 workers.
Globalia is about to close a quick loan with an ICO guarantee of € 130 million that will allow it to keep its companies standing, including its group of travel agencies, Halcón, its handling division, and its small hotel chain. Santander, Bankia, Sabadell, and Cajamar are among the banks that lead this loan to the Balearic group, which has launched a temporary employment regulation file (ERTE) for 15,000 employees. ![]()

Embraer employees approve pay cut plan to keep jobs
During the negotiations, the Union opposed Embraer’s proposal, since it mainly disagreed on two points. One of them is the company’s intention to keep more than a thousand employees inside the factories on Av. Faria Lima and Eugênio de Melo, despite the risks of contagion by the coronavirus. «At a time when social isolation is a matter of life and death, it is unacceptable that Embraer insists on keeping workers in the factory. The Union has already sent a letter to the State Government and met with the mayor of São José dos Campos to demand stricter isolation measures in companies that are not essential”, says André Luis Gonçalves.

GECAS cancels 69 Boeing 737 MAX
Boeing takes another hit from GECAS cancellations
Airlines and lessors are cutting orders to match the slow growth in travel expected to last for years after the pandemic, depleting demand for new planes. «Boeing and its European rival Airbus are resetting production rates and delivery schedules to align with market contractions. That may not yet result in mass cancellations. Most delivery discussions will take place in general contract negotiations that they include considerations such as other aircraft commitments, timing of payments, and the impact of delays», Bernstein analyst Douglas Harned wrote in a note to clients ahead of the GECAS announcement.
