Viva Air declara sobre interés de JetSMART

La compañía matriz de Viva Air Colombia, Castlesouth Limited, ha desmentido acerca de declaraciones de ofertas negociables por parte de JetSMART Airlines Group. Informó que la aerolínea chilena solo solicitó ampliar la información para el proceso de debida diligencia sobre la aerolínea colombiana.

Castlesouth Limited, titular de los derechos de voto sobre Fast Colombia S.A.S., el operador de Viva Air Colombia, aclaró la posición de su Directorio a raíz de ciertos anuncios hechos en los medios de comunicación por JetSMART Airlines Group, la aerolínea chilena que, presuntamente, tiene interés en adquirir el 100% de las acciones de Viva Air, empresa colombiana que busca salir de la crisis económica en la que está para no desaparecer.

El procedimiento de Administración durará noventa días y servirá para hacer tiempo mientras se resuelve la puja entre Avianca Holdings y JetSMART Airlines Group por alcanzar el control de Viva Air Colombia. De acuerdo con Castlesouth Limited, hasta la fecha JetSMART no ha presentado ninguna oferta. Además, informó que lo que hizo la compañía fue solicitar información para el proceso de debida diligencia sobre Viva air Colombia. “Cualquier negociación con JetSMART o cualquier otro tercero tomaría un tiempo considerable sin que exista aun certeza de que se pueda acordar una transacción e, incluso de poder acordarse, la misma estaría sujeta a un periodo de espera adicional para obtener las autorizaciones regulatorias aplicables. Dada la condición financiera crítica actual de Viva, la autorización inmediata del Gobierno nacional respecto a la integración de Viva con Avianca redunda en el mejor interés de Viva y sus pasajeros, acreedores, empleados y terceros interesados, incluyendo el público colombiano”, anotó Castlesouth Limited.

Pujas mercado colombiano

La pulseada por la aerolínea de bajo costo colombiana que busca integrarse con Avianca, se incorpora a la intención de JetsMART de adquirir la totalidad de la compañía aérea. Avianca, por su parte, aseguró que la propuesta es inviable. Aseguró que el ofrecimiento es una distracción a la solicitud de integración que adelanta actualmente con Viva Air Colombia.

El titular de los derechos de voto sobre Fast Colombia S.A.S., el operador de Viva Colombia, se refiere exactamente a lo informado el 7 de Febrero del 2023 por varios medios de comunicación, cuando se precisó que JetSMART, aerolínea chilena de bajo costo, anunció que tiene interés por adquirir el 100% de las acciones de Viva Air. Castlesouth Limited ha expresado que ve mejor una integración con Avianca.

Un comunicado del Director Ejecutivo de JetSMART Group, Estuardo Ortíz, en el cual afirmó que la transacción JetSMART-Viva Air permitirá mantener el modelo ultra bajo costo en Colombia y con ello, seguir con el ofrecimiento de más rutas a menores precios. “Tenemos una visión de largo plazo para expandirnos en Suramérica y estamos en posición de continuar invirtiendo en nuestro crecimiento. Creemos en el potencial del mercado colombiano. Nuestra alternativa redundará en beneficio de los usuarios, fortaleciendo la libre competencia en el sector y promoverá el turismo y la conectividad en el país”, explicó Estuardo Ortíz en un comunicado. En el documento, JetSMART indicó que los aviones utilizados por la empresa reducen el consumo de combustible en más del 25% por asiento en comparación con la generación anterior, registra una reducción del 25% en las emisiones de dióxido de carbono (CO2), por lo que dejan de emitir más de 12.000 toneladas de emisiones CO2 por avión al año.

La alianza que persiguen las aerolíneas permitirá complementar rutas en Colombia y homogeneizar las flotas A320NEO que las tres líneas aéreas implicadas poseen en común.

“En JetSMART tenemos la experiencia, capacidades y recursos para llevar a cabo esta transacción y esperamos poder avanzar en ella de forma rápida y efectiva”, expresó el Director Ejecutivo de la firma JetSMART, aerolínea que forma parte del portafolio de líneas aéreas de Indigo Partners, fondo de inversión que controla otras cinco líneas aéreas y que en la actualidad opera 79 rutas en siete países de Sudamérica y en Colombia, donde opera desde finales de 2019, con rutas hacia Bogotá, Cali y Medellín.

El CEO de Viva Air, Félix Antelo se había expresado el 07/02 que no había aparecido una alternativa diferente, pese a que la compañía la buscó; por lo que posteriormente JetSMART hacía público su intención de acercar su posición para adquirir la aerolínea. Enfatizó en caso de que no se dé la integración en alguna compañía, le corresponderá a la Junta de Accionista definir el Plan B para la aerolínea low cost.

Avianca-Viva Air

Los voceros de Viva Air confirmaron el 8 de Febrero de 2023 que ya recibieron la propuesta de adquisición por parte de la aerolínea chilena JetSMART Airlines Group y que iniciaron el estudio de la misma. “En este momento, la organización se encuentra revisando las posibles implicaciones que este anuncio pueda tener en el desarrollo del proceso que hoy se adelanta ante la Aerocivil, en el que ya existe una solicitud que busca promover la integración entre Viva y Avianca”, indicaron los voceros de la aerolínea de bajo costo al medio.

Entre tanto, Avianca, por medio de un comunicado, aseguró que la oferta de la compañía chilena únicamente busca generar una distracción. “Avianca y sus accionistas consideran que la declaración de interés de JetSMART, tiene como único objetivo utilizar una propuesta, a todas luces inviable, para generar una distracción a la solicitud de integración de Viva y Avianca”, sostuvo la aerolínea, a la vez que aseguró que, hasta el momento, no han recibido propuestas para traspasar su participación económica en Viva Air.

Avianca y Viva Air solicitaron la fusión, sin embargo, la Aeronáutica Civil de Colombia respondió que dicha unión no tendrá lugar para evitar escenarios de monopolio y competencia desleal en algunas ciudades. La autoridad aeronáutica también llegó a la conclusión de que permitir esa integración “representa riesgos para la competencia en el sector y el bienestar de los consumidores. Las intervinientes participan en 59 rutas nacionales, que movilizan el 93,7% del tráfico domestico del país. De estas rutas, en 29 rutas nacionales round trip participan de manera coincidente”. La misma dio varios argumentos para impedir esta unión. Por ejemplo, señaló que la fusión reforzaría el poder de mercado de Avianca, Viva Air y Viva Perú.

Viva Air Colombia que fue descrita como una alternativa valiosa para los consumidores colombianos y de la región, mencionó antes que está en crisis y podría desaparecer si la fusión no se da. Ante esa eventualidad, Aerocivil dice que esa situación se debe probar para que ellos puedan hacer una excepción.
