Fusión de aerolíneas dinamizará mercado low cost colombiano

Avianca Airlines ha anunciado la compra del 100% de las acciones de Viva Air como parte de las estrategias de captación de mercado aéreo low cost. Una segunda etapa buscará efectuar la sinergia operacional que les daría 65% de participación en el mercado colombiano.

Los accionistas mayoritarios de Avianca y Viva Air, dos de las aerolíneas con más participaciones de mercado de Colombia y Latinoamérica permitirían alcanzar un impacto en la industria de la aviación comercial. Declan Ryan, socio fundador de Viva, vendió 100% de las acciones a Roberto Kriete, accionista de Avianca y Presidente de su Junta Directiva.

Moviendo estrategias

Avianca Airlines ha estado activa después de la salida del Capítulo 11 como parte de las estrategias para fortalecer su posición con la compra total de la low cost Viva Air, noticia que ha sido confirmada por ambas aerolíneas. La primer etapa consiste en la transacción accionaria entre compañías, mientras que la fusión operacional continuará hacia una segunda etapa. En el efecto inmediato la fusión operacional de ambas aerolíneas, el nuevo holding se llamaría Investment Vehicle 1 Limited, según dijo Avianca Group. Por lo que el impacto de esto en el mercado será una reconfiguración del mercado aéreo de cabotaje y regional.

“En el mercado internacional Viva Air no es un gran participante como si lo es Avianca. El gran terremoto ocurriría en el mercado doméstico, en el cual tendría un solo grupo la mayoría de participación. Las alianzas son normales en la industria aérea”, explicó Juan Felipe Reyes, Analista y Abogado aeronáutico.

Perspectivas Avianca-Viva Air

La fusión Avianca-Viva Air permitiría alcanzar un 65% de la participación de mercado en Colombia, Latam Airlines Colombia poseería 20%, Wingo Air 4,5%, Easyfly 4%, Satena 2,2%, mientras que el resto se repate entre líneas aéreas más pequeñas. La Superintendencia de Industria y Comercio o la Aerocivil, tendrán que revisar que el nuevo grupo no supere la cuota límite de participación para no afectar la competitividad. No obstante, la Aerocivil ha explicado que esto deberá analizarse a luz del plan operacional que ambas aerolíneas presenten. Todo esto se da en medio de un clima comercial en el que las aerolíneas de bajo costo irrumpieron en el mercado y pusieron a temblar a las de tiempo completo, con la oferta de tiquetes con menor costo frente a sus otros competidores, y nuevas rutas hacia destino más remotos y regionales, a las que aerolíneas tradicionales como Avianca y Latam, no llegaban antes. La unión operacional entre Avianca y Viva construiría una robusta red de 188 rutas con conexión a 94 destinos y una flota de 141 aviones. La actualidad, Viva Air cuenta con 60 rutas y 22 aviones y Avianca con 128 rutas en operación, según cifras actualizadas por las compañías. Otro de los impactos que tendrá en el mercado nacional la posible unión de las aerolíneas será la capacidad de pasajeros movilizados. Por ejemplo, en 2021, Avianca transportó 9,7 millones de pasajeros, por lo que esto es igual a tener 33,4% de los usuarios totales que viajan en avión en Colombia. Por su parte Viva Air, logró transportar a 5,1 millones de personas logrando una participación de 17,7% en el transporte aéreo. Esto sin duda dejaría al nuevo grupo con una de las carteras de clientes más grandes del país, pues otras aerolíneas como Latam Airlines Colombia transportan alrededor de 6 millones de pasajeros al año y Wingo Air 1,4 millones. Frente a estas cifras, competidores directos como Ultra Air, que se verán dinamizadas en su participación de mercado de llegarse a dar la fusión, indican estar tranquilas frente a la próxima fusión y encontrarse seguro del modelo de ultra bajo costo que los hace fuertes frente a la competencia en el mercado. «Nosotros en Ultra Air somos y seremos una aerolínea de ultra bajo costo y además tenemos una alta preferencia en el mercado colombiano», dijo William Shaw, fundador de Viva y también CEO de Ultra Air.

El impacto que tendrá la posible sinergia en los precios de los pasajes es sin duda uno de los efectos que más genera interés en la industria comercial aérea. Esto recalcando los modelos económicos y comerciales bajos los cuales operan cada aerolínea, siendo Viva Air una línea aérea de bajo costo y Avianca una aerolínea tradicional con vuelo de tiempo completo. Tras la fusión anunciada, Avianca saca el beneficio al fusionarse con una low cost. Viva Air ha implementado una estrategia comercial que llama “el Efecto Viva” en el que busca generar un mayor descuento en los precios de los pasajes frente a otros competidores con reducciones a veces de hasta 40%. “Si se decidiera solicitar y posteriormente se obtuviera autorización de las autoridades regulatorias para controlar las aerolíneas de Viva, esta sería una operación ganadora”, dijo Avianca Group.

“Este nuevo y sólido grupo de aerolíneas beneficiaría a los clientes al tener una estructura de costos más eficiente que permitiría ofrecer precios aún más bajos, además de una red de rutas que promovería la conectividad directa entre destinos, un fuerte programa de lealtad y un servicio amable y eficiente acorde con las necesidades del viajero de hoy. Además, le daría a Colombia y a Latinoamérica un nuevo y fortalecido competidor sostenible en el tiempo, impulsando que ambos jugadores sigan siendo relevantes en el mercado latinoamericano”, comentó Roberto Kriete, principal accionista y Presidente de la Junta Directiva de Avianca.

Con todo esto, y según indican los analistas comerciales, la decisión de Avianca de adquirir Viva Air es una acción casi que de supervivencia en un mercado que con el tiempo se volvió más asequible, y los viajes en avión dejaron de ser un privilegio para abrir su oferta a personas con menos poder adquisitivo. También, fue una vía segura para Avianca por reestructurar sus estados financieros, luego de salir del Capítulo 11 del Código de Quiebras de Estados Unidos, en el cual reestructuró su deuda por más de US$ 5.000 millones.

Sin embargo, el fundador de Viva y Ultra Air dijo que aún «es muy temprano para saber qué puede llegar a pasar, porque hasta el momento lo que sucedió es que solamente se ha anunciado que una holding ahora es dueña de las dos aerolíneas, pero no tienen una aprobación formal de fusionarse». Advierte, que la última vez que hubo una fusión fue con la Alianza Suma, «vimos como creció la tarifa promedio de los tiquetes y se volvió exageradamente caro viajar por Colombia. Por lo que esperamos que esto no sea lo mismo», dijo el fundador de Viva y de Ultra Air.

Ambas aerolíneas deberán atravesar los trámites de reglamentación ante la SIC y la Aerocivil Colombia para la aprobación formal de la fusión. “Cabe aclarar que la eventual incorporación de los derechos de control de las operaciones de Viva en Colombia y Perú al holding común estará sujeta a que se soliciten y obtengan todas las autorizaciones regulatorias necesarias en los países que así se requiera, y en tal medida operarán con total normalidad e independencia y seguirán compitiendo en todos los países donde tienen presencia”, dijo Avianca Group.

Por el presente, las aerolíneas mantendrán sus operaciones con marcas separadas, pero bajo la misma empresa, y hasta entonces, el negocio está sujeto a que se soliciten y obtengan todas las autorizaciones regulatorias necesarias en los países que así se requiera. Esta decisión de unificación buscará impulsar un perfil financiero más estable por parte de Avianca. Entre el acuerdo también está que Declan Ryan, socio fundador de Viva, se sume a la Junta Directiva del nuevo grupo.

Kuwait Airways lanzará una nueva ruta entre el Aeropuerto Kuwait/KWI y el Aeropuerto Manchester/MAN, Reino Unido. A partir del Domingo 1 de Mayo de 2022 se lanzan los servicios desde Manchester hacia Kuwait. El servicio al destino europeo proveniente de Oriente Medio operará tres veces por semana (3Frq/S) los Domingos, Martes y Jueves desde Manchester. La aerolínea rusa Aeroflot Russian Airlines ha sido suspendida de la alianza de aerolíneas globales SkyTeam debido a los bloqueos presentados por Occidente y los problemas geo-políticos que representa el conflicto bélico ruso-ucraniano. La compañía aérea se había integrado a la alianza en 2006 y era la séptima del grupo fundado por Delta Air Lines, Air France-KLM Group, Korean Air y Aeroméxico.

La alianza de líneas aéreas SkyTeam, liderada en Europa por Air France-KLM, anunció la suspensión temporal de Aeroflot Russian Airlines como integrante del grupo. Una semana atrás, la aerolínea rusa S7 Airlines, la segunda aerolínea rusa, había recibido igual trato por parte de la alianza Oneworld.

En el caso de SkyTeam, la suspensión afectará a los clientes para hacer uso de los puntajes volando con Aeroflot o algunas de las aerolíneas miembro del grupo. La suspensión de integración en cierta medida significa que podría contemplarse un retorno, en la medida que el escenario geo-político lo permitiese. La Auditoría General de la Nación (AGN) de la República Argentina ha aprobado el informe del balance correspondiente para 2021 de Aerolíneas Argentinas con un patrimonio neto negativo que arrastra desde 2008 de US$ 8000 millones Dólares. La aerolínea necesitaba alrededor de AR$ 200 millones diarios para funcionar en 2021.

La sociedad ha recibido asistencia financiera del Estado Nacional por AR$ 72.797,7 millones a valores homogéneos al 31/12/2021 dice uno de los párrafos que se agregó como nota a los balances. Tuvo una pérdida neta de AR$ 44.552,9 millones. Una fuente oficial, que conoce de esas cifras millonarias, lo explicó: “Ese es el número de transferencias que también figura en los estados contables. Lo que sucede es que en la contabilidad que queda del lado del que hace el aporte, se ajusta por inflación por eso se llega a casi AR$ 73.000 millones; en el Aerolíneas figura AR$ 65.000”.

Hubo un párrafo que fue pedido por uno de los auditores generales, Miguel Pichetto. El texto expresa: ”Al 31 de Diciembre de 2021, el patrimonio neto es negativo en AR$ 39.034,4 millones, los resultados no asignados acumulan pérdidas por AR$ 247.950,7 millones y el capital de trabajo presenta un déficit de AR$ 48.647,9 millones. Teniendo en cuenta lo señalado, y la evolución en los últimos años de los conceptos mencionados, la capacidad de la sociedad de financiar sus operaciones y cancelar sus pasivos, se halla supeditada al mantenimiento de los recursos aportados por el Estado Nacional”. Persiguiendo las formas de respeto, Miguel Pichetto ha expresado: “Tengo una visión sobre Aerolíneas. Me parece fundamental que siga siendo estatal lo que se debería es ir tratando de bajar el apoyo del Tesoro Nacional para lograr niveles de autosuficiencia”.

El transporte de carga fue 17.728 toneladas y aumentó en 2021 un 48,7% respecto a 2020 (11.923 toneladas), pero es 44,5% más baja que en 2019 que transportó 31.950 toneladas, expresa la AGN.
