La operación de compra de Brussels Airlines se cerrará a lo largo del mes que viene

Brussels Airlines y Lufthansa han anunciado que han llegado a un acuerdo definitivo para que la aerolínea alemana adquiera el 55% de las acciones de la empresa belga, con lo que se hará con el control total de la sociedad.

Lufthansa y los accionistas de SN Airholding, matriz de Brussels Airlines, han llegado a un acuerdo sobre las modalidades de compra, por lo que el consejo de administración de Lufthansa decidió ayer ejercer su opción de compra.

Esta se hará efectiva el 31 de diciembre y la transacción se cerrará en enero de 2017, en línea con el plan avanzado por las compañías cuando anunciaron la operación en septiembre.

Lufthansa, que poseía ya el 45% restante de las acciones de Brussels Airlines desde 2008, pagará 2,6 millones de euros para hacerse de forma efectiva con la totalidad de SN Airholding. Esta cantidad es notablemente inferior al valor real del paquete de acciones, estimado en 150 millones.

Un portavoz de Lufthansa ha indicado que el precio ha sido calculado basándose en una fórmula establecida en el primer contrato que ambas aerolíneas firmaron en 2008.

Según informó ayer el diario La Libre Belgique, la diferencia se debe a que Lufthansa ha hecho uso de una cláusula que permitía rebajar el precio de recompra si Brussels Airlines tenía una deuda con ella, caso que se da actualmente.

El director general de Lufthansa, Carsten Spohr, ha dicho que la compra de Brussels Airlines encaja «perfectamente» en la estrategia de su compañía, que invirtió inicialmente en la aerolínea belga por «su interés en el mercado de África» y sus precios «competitivos con margen de crecimiento».

«Como la aerolínea número uno en Europa hemos querido llegar a Bruselas, que es el mercado más europeo de todos», ha señalado Spohr.

Tras la compra, Brussels Airlines operará 23 vuelos de larga distancia y 79 rutas en Europa bajo al paraguas del grupo Eurowings, aunque la aerolínea mantendrá la marca Brussels Airlines.
