La operación tiene por objeto que el grupo Cueto no diluya su propiedad en la compañía tras el ingreso de Qatar Airlines

El grupo Cueto y la familia brasileña Amaro informaron este jueves que modificarán la estructura mediante la que controlan Latam Airlines, de modo que el primero no diluya su participación en la compañía tras el ingreso a la propiedad de Qatar Airlines.

«Desde que Latam Airlines anunciara el 12 de julio de 2016 el acuerdo para el ingreso de Qatar Airways como accionista a través de un aumento de capital, el grupo Cueto se ha concentrado en buscar alternativas con diversos inversionistas que le permitan mantener el control de Latam Airlines una vez que se materialice el aumento de capital», dijo Carlos Vallete, gerente general de Costa Verde Aeronáutica, mediante un hecho esencial enviado a la Superintendencia de Valores y Seguros (SVS).

La sociedad Costa Verde Aeronaútica (CVA) es controlada en un 99,98% por el grupo Cueto. CVA y sus filiales, sumadas a ciertas sociedades del grupo Cueto son titulares de 136.394.023 acciones del Latam equivalentes a poco más del 25% de la propiedad.

El acuerdo incluye que la familia Amaro, que a través de la sociedad TEP Chile posee 65.554.075 acciones de Latam representativas del 12% de la propiedad, rematará este viernes en la Bolsa de Comercio de Santiago 35.300.000 acciones, equivalentes a un 6,47% de la propiedad. En tanto, CVA, a través de una filial 100% de su propiedad se ha obligado a ofrecer comprar dichas acciones.

Una vez concretada la operación, la familia Amaro ingresará a la propiedad de CVA con un 21,88% y el grupo Cueto se quedará con el 78,1% para conformar así un nuevo pacto de accionistas, con el que mantendrán el control de la aerolínea.

De este modo el grupo Cueto pasará a ser titular de 171.694.023 acciones de Latam, las que representan un 31,47% de la compañía y una vez que se concrete el aumento de capital que permitirá el ingreso la propiedad de Qatar Airways, su participación accionaria de diluirá a un 28,29%. Sin embargo, este último porcentaje es superior al poco más 25% que poseen en la actualidad.

En tanto tras el ingreso de la familia Amaro a CVA, a través de TEP Chile, entrará en vigencia un pacto de accionistas sobre dicha sociedad con vencimiento al 31 de diciembre de 2021.

El pacto de accionistas establece restricciones a la venta de las acciones de CVA y el derecho de TEP Chile de elegir un director en CVA mientras su participación no baje del 12,5% del capital accionario. Asimismo no se contemplan materias de mayorías especiales o vetos y se permite el ingreso de nuevos accionistas a CVA.

A mediados de julio Latam Airlines Group y Qatar Airways informaron que firmaron un acuerdo para que Qatar Airways adquiera hasta el 10% del total de las acciones de Latam a través de un aumento de capital por US$613 millones.

La aerolínea qatarí es el principal accionista de International Consolidated Airlines Group (IAG), matriz de Iberia y British Airways. Latam Airlines es la mayor aerolínea de LatinoAmérica y tiene operaciones en Argentina, Brasil, Chile, Colombia, Ecuador y Perú. 

Cueto Group will buy 6.47% of Latam Airlines to the Amaro family

The Cueto group and the Brazilian family Amaro reported Thursday that modify the structure by controlling Latam Airlines, so that the former does not dilute its stake in the company after admission to ownership of Qatar Airlines.

Costa Verde Aeronautical Society (CVA) is 99.98% controlled by the Cueto group. CVA and its subsidiaries, together with certain companies Cueto group are holders of Latam 136,394,023 shares equivalent to just over 25% of the property.

The agreement includes the Amaro family, through society TEP Chile owns 65,554,075 shares representing Latam 12% of the property, rematará Friday in the Santiago Stock Exchange 35,300,000 shares, equivalent to a 6 , 47% of the property. Meanwhile, CVA, through a subsidiary 100% owned has been forced to offer to buy the shares.

Meanwhile after the entry of the Amaro family CVA, through TEP Chile will enter into force a shareholders’ agreement on that company maturing on 31 December 2021.

The shareholders’ agreement establishes restrictions on the sale of shares of CVA and the right of TEP Chile to elect a director in CVA while their share does not fall below 12.5% equity interest. Also not substances of special majorities or vetoes are contemplated and the entry of new shareholders CVA is allowed.
