JetBlue Airways y Spirit Airlines han acercado la propuesta para materializar la sinergia de ambas aerolíneas. Mientras tanto, JetBlue Airways puede haber ganado a la Junta y la Administración de Spirit Airlines en su guerra de ofertas con su competidor Frontier Airlines por el descuento, pero JetBlue todavía necesita influir en los accionistas antes de que el acuerdo pueda avanzar. Spirit ha programado una reunión de accionistas el 19 de Octubre de 2022 para una votación sobre la oferta de adquisición de US$ 3.800 millones de Dólares de JetBlue.

Los inversores en la aerolínea han estado alentando la fusión antes con la programación de Spirit y posponiendo o suspendiendo cuatro reuniones anteriores sobre la oferta fallida de Frontier. Pero incluso si los accionistas de Spirit aprueban la oferta de JetBlue como se espera, la fusión todavía tiene una colina empinada que escalar con el Departamento de Justicia (DOJ). El regulador, cuya aprobación es clave para la combinación, aún no ha intervenido en la fusión que eliminaría a un competidor presupuestario del mercado estadounidense y convertiría a JetBlue en el quinto operador aéreo nacional más grande.

JetBlue Airways and Spirit Airlines have brought the proposal closer to materialize the synergy of both airlines. Meanwhile, JetBlue Airways may have won over Spirit Airlines’ Board and Management in its bidding war with competitor Frontier Airlines over the discount, but JetBlue still needs to sway shareholders before the deal can move forward. Spirit has scheduled a shareholder meeting on October 19, 2022 for a vote on JetBlue’s US$ 3.8 billion takeover offer.

Investors in the airline have been cheering for the merger earlier with Spirit scheduling and postponing or calling off four previous meetings over Frontier’s failed bid. But even if Spirit shareholders approve JetBlue’s offer as expected, the merger still has a steep hill to climb with the Department of Justice (DOJ). The regulator, whose approval is key to the combination, has yet to weigh in on the merger that would remove a budget competitor from the US market and make JetBlue the fifth-largest domestic carrier.
